Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Vemra platform and services ("Service") operated by ZTUDIO ("Vemra," "we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Service Description

Vemra provides AI-powered marketing automation services including:

• Website Generation: AI-generated professional websites based on your business profile.
• AI Chatbot: Conversational chatbot embedded on your website to engage visitors and capture leads.
• AI Phone Receptionist: 24/7 AI-powered phone answering service with dedicated business phone number (powered by Retell AI).
• Content Automation: AI-generated blog posts published on a recurring schedule.
• Video & Carousel Generation: AI-generated short-form social videos and carousel posts for TikTok, Instagram, and YouTube.
• Lead Management: Dashboard for managing leads, calls, quotes, and customer interactions.
• API Access: Programmatic access to your content and data.

2. Account Registration

• You must be at least 18 years old to create an account.
• You must provide accurate and complete information during registration.
• You are responsible for maintaining the security of your account credentials.
• You must notify us immediately of any unauthorized access to your account.
• One person or business entity may not maintain more than one free account.

3. Subscriptions & Payment

3.1 Plans

Vemra offers subscription plans (Starter, Pro, Scale) billed monthly or annually. Plan features and pricing are listed on our pricing page and may change with 30 days notice.

3.2 Billing

• Subscriptions are billed in advance on a recurring basis (monthly or annually).
• Payment is processed through Stripe. You authorize us to charge your payment method.
• Failed payments may result in service suspension after a 7-day grace period.

3.3 Refunds

We offer a 14-day money-back guarantee on your first subscription. After 14 days, payments are non-refundable. You may cancel at any time and your service will continue through the end of your current billing period.

3.4 Free Tier

Free accounts include a generated website with a Vemra-branded banner. Premium features (AI phone, blog automation, video) require a paid subscription.

4. Content Ownership & License

4.1 Your Content

You retain ownership of the business information, images, and data you provide to Vemra. By uploading content, you grant us a non-exclusive license to use it for the purpose of providing the Service.

4.2 AI-Generated Content

Websites, blog posts, videos, and carousels generated by Vemra's AI are your property. You may use, modify, and distribute generated content without restriction. However, AI-generated content is provided "as-is" and we do not guarantee its accuracy, originality, or fitness for any particular purpose.

4.3 Vemra IP

The Vemra platform, technology, design system, and branding remain our intellectual property. Your subscription grants you a license to use the Service, not ownership of the underlying technology.

5. AI Phone Receptionist Terms

• Phone numbers are provisioned through Retell AI and remain our property while your subscription is active.
• All calls are recorded and transcribed. You are responsible for compliance with call recording laws in your jurisdiction.
• The AI receptionist represents your business. You are responsible for the accuracy of information it provides.
• Phone numbers may be released 30 days after subscription cancellation.
• We are not liable for missed calls, technical failures, or inaccurate AI responses.

6. Acceptable Use

You may not use Vemra to:

• Generate content that is illegal, defamatory, threatening, or infringes on third-party rights.
• Impersonate another person or business.
• Send unsolicited bulk communications (spam).
• Attempt to bypass rate limits, security measures, or access restrictions.
• Reverse engineer, decompile, or attempt to extract the source code of the Service.
• Use the Service for any purpose that violates applicable laws or regulations.
• Resell or redistribute the Service without our written consent (unless on the Scale plan with reseller agreement).

7. Service Availability & SLA

We target 99.9% uptime for hosted websites and aim to resolve critical issues within 4 hours. However, we do not guarantee uninterrupted service. Scheduled maintenance windows are communicated via email with at least 24 hours notice. We are not liable for downtime caused by third-party providers, force majeure, or factors outside our control.

8. Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

9. Termination

• By You: You may cancel your subscription at any time from your dashboard. Service continues through the end of your billing period.
• By Us: We may suspend or terminate your account for violation of these Terms, non-payment, or illegal activity, with or without notice.
• Effect: Upon termination, your access to the dashboard ceases. Generated websites remain accessible for 30 days to allow content export. After 30 days, all data is permanently deleted.

10. Limitation of Liability

To the maximum extent permitted by law, Vemra and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.

Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that AI-generated content will be accurate, complete, or error-free.

12. Indemnification

You agree to indemnify and hold harmless Vemra and its affiliates from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

13. Governing Law & Disputes

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in California. You waive any right to participate in a class action lawsuit.

14. Changes to These Terms

We may modify these Terms at any time. Material changes will be communicated via email at least 30 days in advance. Continued use after changes take effect constitutes acceptance.
